Kalliopé advises I-4S shareholders in connection with WCP Eiréné’s acquisition of a controlling stake in the group

Kalliopé Law Firm advised the shareholders of I-4S in connection with the acquisition of a controlling stake in the group by WCP Eiréné, a Weinberg Capital Partners fund dedicated to supporting SMEs and mid-sized companies in the security and defence sector.

A French leader in rapidly deployable tactical shelter solutions, I-4S specialises in the design, manufacture and maintenance of such solutions and equipment and operates in the defence, medical and civil security sectors. The group is a strategic supplier to the French armed forces and to several armed forces across Europe and worldwide.

Founded in 2012 by Régis Gherardini and Olivier Meyer, the group has built its position on the development of unique expertise, responsiveness, agility and control over its entire value chain.

The transaction, which includes a significant reinvestment by the group’s founders and executives, as well as by Galiena Capital, a shareholder since 2021, marks an important step in the group’s expansion. It will enable I-4S to consolidate its position in its core markets, accelerate its international development and expansion into new segments, and pursue a selective external growth strategy.

Kalliopé advised the shareholders on the transactional aspects with a team comprising Tanguy d’Everlange and Rodolphe Cavroy (Partners), and Ava Sereshki (Associate).

Kalliopé also carried out the legal vendor due diligence, with Tanguy d’Everlange and Rodolphe Cavroy (Partners), and Ava Sereshki (Associate) advising on corporate matters, Jocelyn Duval (Partner) and Chloé Daheron (Associate) on public law matters, Lorenzo Balzano (Partner) and Oriane Fievet (Associate) on real estate matters, and Jérôme Buscail (Partner), Soraia Santos and Achille Roussel (Associates) on intellectual property matters.
